These Terms and Conditions (“Terms”) constitute a legally binding agreement between MPOVR (“MPOVR,” “we,” “us,” or “our”), a company organized under the laws of the State of Delaware, United States of America, with its principal place of business in the U.S., and You (“Applicant,” “Learner,” or “You”), the individual or entity applying for, enrolling in, participating in, or otherwise using our online training programs, services, and resources (collectively, “Services”). 

By applying, enrolling, accessing, or using any of our Services, you signify that you have read, understood, and agree to be bound by these Terms, MPOVR’s Privacy Policy ([Link to Privacy Policy]), and any other policies referenced herein. If you do not agree to these Terms, you must not proceed with your application, enrollment, or use of our Services. 

 

  1. Eligibility and Application

1.1. Truthfulness of Information: You represent and warrant that all information provided during the application and enrollment process, including but not limited to personal details, academic records, professional experience, and qualifications, is truthful, accurate, complete, and current. You agree to promptly update any changes to this information. 
1.2. Program Prerequisites: You acknowledge and confirm that you meet all specified minimum prerequisites for the selected program(s) as outlined on the Programs page of our website ([Link to Programs Page]). These prerequisites may include, but are not limited to, academic qualifications, professional experience, specific software or hardware requirements, English proficiency, and the ability to commit to program-specific components such as a 90-day practicum. 
1.3. MPOVR’s Right to Reject: MPOVR reserves the sole right to review, accept, or reject any application for any reason, including but not limited to failure to meet stated prerequisites, incomplete information, or concerns regarding your suitability for the program, at its absolute discretion. Application fees, if any, for rejected applications will be refunded in accordance with our Refund Policy. 
1.4. Age Requirement: You must be at least 18 years of age to apply for and use our Services. If you are under 18, you may only apply and participate with the express consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. 

 

  1. Enrollment, Payment, and Cancellation

2.1. Confirmation of Enrollment: Your enrollment in a program is confirmed only upon the successful processing of all applicable fees and your electronic signature/acceptance of a separate Learning Agreement (if required for the specific program), which will incorporate these Terms by reference. 
2.2. Fees and Payment Processing: 
* All fees are stated and processed in United States Dollars (USD) unless explicitly otherwise specified. You are responsible for all currency conversion fees, international transaction charges, or other fees levied by your bank or payment processor. 
* Payments must be made through MPOVR’s authorized payment channels (e.g., Stripe) or as otherwise explicitly instructed by MPOVR. 
* You agree to comply with the terms and conditions of the respective third-party payment processors. MPOVR does not store your full payment card details. 
2.3. Taxes: You are solely responsible for any and all applicable taxes, duties, levies, or similar governmental assessments, including but not limited to Value Added Tax (VAT), Goods and Services Tax (GST), or sales tax, imposed by your country, state, or locality, which may be added to the program fees at the time of purchase. 
2.4. Refund Policy: All fees are non-refundable except as explicitly outlined in MPOVR’s Refund Policy, available at [Link to Refund Policy]. Generally, a limited refund may be available if requested in writing at least seven (7) days prior to the official start date of the program, subject to specific conditions detailed in the Refund Policy. No refunds will be issued once the program has commenced or after this specified period. 
2.5. Installment Plans: If you opt for an installment payment plan, you agree to adhere strictly to all payment deadlines. Failure to meet any scheduled payment may result in immediate suspension or termination of your access to all Services, without refund for payments already made, until the outstanding balance is settled. MPOVR reserves the right to pursue collection of any outstanding balances. 

 

  1. Training Services and Access

3.1. Program Structure: MPOVR delivers structured, practicum-based training programs. The Services include, but are not limited to, live virtual classes, self-paced modules, practice assignments, assessments, quizzes, digital learning materials, and access to online learning platforms or tools. MPOVR reserves the right to modify program content, schedule, format, or instructors at its discretion. 
3.2. Access and Technical Requirements: 
* You are responsible for ensuring you have the necessary computer hardware, software, internet connectivity, and other technical requirements to access and participate in the Services. 
* MPOVR provides access for the duration of the program as specified at the time of enrollment, or for a defined period for self-paced courses. Continued access beyond this period may require additional fees or a separate subscription. 
3.3. No Workday Endorsement: MPOVR explicitly states that its programs are not Workday-certified, Workday-partner endorsed, or directly affiliated with Workday, Inc. The training content is developed by MPOVR based on real-world concepts, industry use cases, and public domain knowledge to enhance your understanding of enterprise IT systems and processes. MPOVR makes no representations or warranties regarding official Workday certifications or partnerships. 

 

  1. Intellectual Property Rights

4.1. Ownership: All intellectual property rights, title, and interest in and to all program content, learning materials (including but not limited to videos, presentations, documents, code, exercises, case studies, quizzes), underlying platforms, methodologies, trademarks, and any other proprietary information provided as part of the Services (“MPOVR IP”), remain the exclusive property of MPOVR or its licensors. 
4.2. Limited License: You are granted a personal, non-exclusive, non-transferable, revocable, limited license to access and use the MPOVR IP solely for your personal, non-commercial educational purposes for the duration of your authorized access. 
4.3. Prohibited Activities: You expressly agree not to: 
* Copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from any MPOVR IP. 
* Distribute, sublicense, lease, sell, resell, publish, publicly display, or transmit any MPOVR IP to any third party. 
* Record, stream, capture screenshots, or otherwise capture any live virtual classes, program content, or learning materials without MPOVR’s explicit prior written consent. 
* Share your unique login credentials or otherwise provide unauthorized access to your Account or the Services to any other individual or entity. 
* Use any MPOVR IP for commercial purposes, including but not limited to offering training, consulting, or services that compete with MPOVR. 
* Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from any MPOVR IP. 
* Any unauthorized use of MPOVR IP constitutes a material breach of these Terms and may result in immediate termination of your access without refund, in addition to potential legal action for damages. 

 

  1. Learner Conduct and Prohibited Activities

5.1. Professional Conduct: You agree to maintain a respectful, professional, and courteous demeanor during all classes, discussions, group activities, and interactions with instructors, MPOVR staff, and other Learners. 
5.2. Communication Channels: All communication with trainers, peers, or MPOVR staff related to the Services must exclusively flow through MPOVR’s approved communication channels (e.g., learning platform messaging, official email addresses). You must not share personal contact details directly with trainers or other Learners. 
5.3. Prohibited Conduct: Any form of disruptive, unethical, offensive, or fraudulent conduct is strictly prohibited, including but not limited to: 
* Harassment, discrimination, bullying, or intimidation of any individual. 
* Plagiarism, cheating, collusion, or falsification of any application information, assignments, projects, or assessments. 
* Sharing or distributing malicious software, viruses, or any harmful content. 
* Attempting to gain unauthorized access to MPOVR’s systems, other user accounts, or any restricted areas. 
* Interfering with the normal operation of the Services or Platform. 
* Any violation of applicable laws or regulations. 
5.4. Consequences of Misconduct: MPOVR reserves the right, at its sole discretion, to suspend or immediately terminate your access to all Services without refund for any breach of this Section 5, in addition to pursuing any other available legal remedies. 

 

  1. Assessments, Certification, and Placement Assistance

6.1. Certification of Completion: Certificates of completion are issued solely upon your successful fulfillment of all specified program requirements, which may include, but are not limited to, completion of assignments, projects, assessments, and active participation. MPOVR reserves the right to set and adjust these requirements. 
6.2. Placement Assistance Eligibility (U.S. Learners Only): Placement assistance services are exclusively offered to Learners based in the United States of America who successfully meet minimum performance standards within their program (e.g., achieving an “A” grade or ranking above the 90th percentile). 
6.3. Discretionary Support: The provision of completion certificates and placement assistance is entirely at MPOVR’s discretion and is contingent upon your strict compliance with all these Terms and any specific program guidelines. 
6.4. No Guarantee of Employment: MPOVR provides placement support on a best-efforts basis through its partner networks, but expressly does not guarantee employment, job interviews, or any specific career outcomes. MPOVR is not an employment agency. 
6.5. Time-Limited Placement Support: Placement assistance, if eligible and provided, is time-limited to a maximum of three (3) months following your official program completion date. 
6.6. No Liability for Third-Party Decisions: MPOVR shall not be held liable or responsible for the outcomes of any interviews, hiring processes, employment decisions, or employment terms made by third-party companies or individuals. Your employment decisions are solely between you and the prospective employer. 

 

  1. Data Privacy and Security (Global Considerations)

7.1. Collection and Use of Personal Data: You consent to MPOVR’s collection, processing, and storage of your personal data (including application details, performance data, and communication records) for purposes directly related to providing the Services, administration, communication, program improvement, and, if applicable and consented to, placement assistance. Our detailed data practices are outlined in our Privacy Policy, available at [Link to Privacy Policy]. 
7.2. International Data Transfer: By using our Services, you acknowledge and agree that your personal data may be collected, stored, and processed in the United States and other countries where MPOVR or its service providers operate. You consent to such international transfers in accordance with our Privacy Policy and applicable data protection laws. 
7.3. Security Measures: MPOVR implements reasonable technical and organizational security measures, such as two-factor authentication, data encryption, and controlled access mechanisms, to protect your personal data and account information. However, no internet transmission or electronic storage is 100% secure. 
7.4. Your Security Responsibilities: You are solely responsible for safeguarding your login credentials, maintaining the confidentiality of your Account, and ensuring the security of your own devices and internet connection. MPOVR is not liable for any unauthorized access to your Account resulting from your failure to maintain adequate security. 

 

  1. Disclaimers

8.1. “As Is” and “As Available”: The Services and all MPOVR IP are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness. 
8.2. No Guarantee of Results: MPOVR does not guarantee that your participation in the programs will result in any specific career advancement, employment, or level of income. Individual results will vary based on effort, prior experience, market conditions, and other factors. 
8.3. Service Continuity: We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We are not responsible for delays or failures outside our reasonable control. 

 

  1. Limitation of Liability

9.1. Exclusion of Certain Damages: To the fullest extent permitted by applicable law, in no event shall MPOVR, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, use, goodwill, reputation, or other intangible losses, arising out of or in connection with your application, enrollment, participation, or inability to use the Services, even if MPOVR has been advised of the possibility of such damages. 
9.2. Total Aggregate Liability: MPOVR’s total aggregate liability to you for any and all claims, whether in contract, tort (including negligence), or otherwise, arising out of or relating to these Terms or the Services, shall in no event exceed the total amount of fees actually paid by you to MPOVR for the specific program or Service giving rise to the claim in the twelve (12) months preceding the date of the claim. 

 

  1. Indemnification

You agree to indemnify, defend, and hold harmless MPOVR, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your Account’s) violation of these Terms, your use of the Services, or your violation of any rights of another. 

 

  1. Amendments to Terms

11.1. MPOVR reserves the right to update, amend, or modify these Terms at any time, at its sole discretion. 
11.2. Any material changes will be communicated to you via email to your registered email address or through a prominent notice on our Platform prior to the changes taking effect. 
11.3. Your continued application, enrollment, or use of the Services after the effective date of any such updates constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Services. 

 

  1. Governing Law and Dispute Resolution (Global Focus)

12.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. 
12.2. Amicable Resolution: We encourage you to contact MPOVR support at [Your Support Email Address] to resolve any concerns or disputes you may have. 
12.3. Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator appointed in accordance with said Rules. The place of arbitration shall be [City in Delaware, e.g., Wilmington], Delaware, USA. The language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction. 
12.4. Waiver of Class Action: You agree that any arbitration or proceeding shall be limited to the dispute between MPOVR and you individually. To the full extent permitted by law, you agree that (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. 

 

  1. Miscellaneous

13.1. Entire Agreement: These Terms, together with any specific Learning Agreement (if applicable) and our Privacy Policy, constitute the entire and exclusive understanding and agreement between you and MPOVR regarding the Services. 
13.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. 
13.3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and MPOVR’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. 
13.4. Assignment: You may not assign or transfer your rights or obligations under these Terms without MPOVR’s prior written consent. MPOVR may assign or transfer its rights and obligations under these Terms without restriction. 

 

  1. Acceptance

By clicking “I agree,” checking the acceptance box, signing electronically, or by proceeding with your application, enrollment, or use of any MPOVR Services, you acknowledge that you have read, understood, and accept these Terms and Conditions in their entirety. You further understand that by doing so, you are entering into a binding legal agreement with MPOVR, governed by the laws of the State of Delaware, USA.
